As Global Head of Corporate Legal, you will shape Siegfried’s global legal strategy and lead all matters related to corporate governance, capital markets, strategic initiatives, and global procurement. Acting as a trusted advisor to our Executive Leadership Team and key global functions (Finance, Procurement, HR, IT), you will play a pivotal role in ensuring Siegfried’s continued growth, integrity, and compliance across jurisdictions.

Global Head of Corporate Legal (all genders)

Your Role:

Strategic Projects & M&A

- Oversee and manage all legal aspects of strategic transactions, including mergers, acquisitions, reorganizations, and partnerships.
- Support due diligence, negotiation, and execution of deals in collaboration with external counsel.
- Advise senior management on transaction structures, risk allocation, and post-merger integration.


Regulatory & Capital Markets

- Manage legal workstreams in capital markets and corporate finance transactions, including loans, bonds, and equity offerings.
- Act as primary liaison for SIX Swiss Exchange regulatory compliance.
- Advise on disclosure and other reporting obligations and ensure compliance with Swiss and international listing rules.


Corporate Governance

- Serve as key counsel to management on corporate law, listing obligations, and best practices.
- Ensure governance and corporate secretarial oversight across all group entities.
- Maintain the Group’s governance framework, including delegation of authority, signature rights, and corporate housekeeping standards.


Corporate Procurement

- Provide legal support for global procurement activities, from sourcing and framework agreements to supplier management.
- Negotiate and approve high-value or strategic procurement contracts.


Leadership & Collaboration

- Partner closely with the Chief Legal and Sustainability Officer and other Legal Department leaders.
- Drive process optimization and digitalization of corporate legal workflows.
- Manage external counsel relationships and budgets for corporate and capital market matters.

Your Profile:

- Qualified lawyer (Swiss, EU, UK, or US).
- No less than 5 years of post-qualification experience in a law firm, large corporate legal department, or advisory firm.
- Expertise in corporate and capital markets law, M&A, and cross-border strategic transactions; experience in the pharmaceutical or CDMO sector is an advantage.
- Excellent communication and negotiation skills in English and German.
- Strong stakeholder management and business acumen; ability to translate complex legal matters into practical business advice.
- Creative, solution-oriented mindset with high integrity, reliability, and strong organizational skills.
